Utilizing my experience as an accountant and 41 years as an attorney, I presently represent a large number of small businesses.Many of these businesses have been clients since their formation.After careful consultation with my clients and their other advisors (usually an accountant or financial advisor), a determination is made as to which legal entity, i.e. corporation, sub-S corporation, limited liability company, limited partnership, etc, that best serves the client’s needs.It is my goal upon completion of the formation that the business will be ready to start operations, with all appropriate filings, registrations and business documents completed.This can usually be done for a flat fee.I believe proper formation and business planning can be the best preventative measure to avoid legal problems in the future.
After the business is formed, I continue to work with my clients to address any matters that arise.I try to keep them informed of any new legislation or court decisions that may affect their businesses.Different legal challenges and business issues can arise and I am available to assist my clients as needed.
I represent clients in the purchase, management, leasing and sale of commercial properties. A large portion of my litigation deals with real property disputes. I also represent clients in foreclosing or defending the foreclosure of commercial properties.
The purchase of property normally includes financing. I have participated in the negotiation, drafting and closing of loans related to the properties being purchased or sold. My goal is to complete the transaction in the most expedited manner.
